Little secret I learned from the repair business I was in before my current
position that might be of additional help to address the shutdown problems
in Win98SE. I saw the problem hundreds of times minimum.
First thing to check is the device manager (If anyone is unfamiliar with the
quick way, right click on "My Computer" and click properties and then device
manager tab). Be sure there are no yellow exclamation marks. I find
typically there was one for power management because we typically disabled
it in the bios. If that is the case just remove it and it will be fine. If
there are others, you will have to fix the hardware or driver problems to
get things straight. When the device manager is clean, apply the windows 98
shutdown patch. It should start working then. If not, try applying the
patch again. That is right, apply the same patch again. The shutdown patch
can be applied many times and needs to be applied after any changes to the
registry that effects the shutdown process for Win98SE. I have added the
patch to my "updates" directory on the server so I can apply it without the
download every time. I found with the systems I worked on, I was able to
fix the shutdown issues of Win98SE in at least 99% of the computers
following the procedure set out above.
The key to remember is "THE WINDOWS 98 SE SHUTDOWN PATCH MAY NEED TO BE
INSTALLED EVERY TIME SOFTWARE OR HARDWARE IS INSTALLED".

Choose START, RUN, program: msconfig
On the GENERAL tab choose ADVANCED
Check/Uncheck the box for FAST SHUTDOWN.

When you shut down Windows 95/98, all device drivers are uninitialized. When
fast shutdown is enabled in Windows 98, device drivers are not
uninitialized. This results in a faster shutdown. Fast shutdown is enabled
by default. Disabling fast shutdown may be necessary when you are
troubleshooting shutdown problems in Windows 98.

To disable fast shutdown, follow these steps:

Click Start, point to Programs, point to Accessories, point to System tools,
and then click System Information.

On the Tools menu, click System Configuration Utility.

On the General tab, click Advanced.

Click the Disable Fast Shutdown check box to select it, click OK, and then
click OK again.

Click Yes when you are prompted to restart your computer.

NOTE: Disabling Fast Shutdown in Windows 98 changes the FastReboot value
data from 1 to 0 in the following registry key:

HKEY_LOCAL_MACHINE\System\CurrentControlSet\Control\Shutdown

Can anybody tell me how to disable the fast shut down feature in Windows 98
Second Edition? I have a number of PCs that won't shut down properly, even
with the Microsoft patch installed. I remember this being discussed on the
group several months ago.

Fast Shutdown registry key is enabled
The Microsoft System Configuration utility includes
an option to disable Fast Shutdown. If this option is
unchecked in Windows 98 Second Edition, your system may
reboot instead of shutting down. To resolve this issue,
change the FastReboot value data from 1 to 0 in the following
registry key:
HKEY_LOCAL_MACHINE\System\CurrentControlSet\Control\Shutdown

NOTE: When you apply the Windows 98 Second Edition Shutdown
Supplement, which addresses shutdown issues, the Disable Fast
Shutdown option is no longer listed on the Advanced tab in Msconfig.

It's fairly easy:

go to the start menu
choose 'run.."
type 'msconfig'
go to advanced button
the checkbox is now visible..

Are you speaking about the situation when I shutdown, but the machine
stays in shutdown mode for a long time (forever?)?
